This agreement is between you and SaliimLabs and covers the ClutchClip desktop application (the "Software"). Installing or using the Software means you accept it. Website use and billing are covered by the terms of service; data handling by theprivacy policy.

1. License granted

Subject to payment and to this agreement, we grant you a non-exclusive, non-transferable license to install and use the Software for personal or commercial purposes on up totwo machines (for example a desktop and a laptop) that you own or control. A weekly or annual license is valid while the subscription is active. A lifetime license is perpetual and does not expire.

2. The free trial

Before purchase, the Software runs in trial mode and exports five complete, unwatermarked clips. All other terms of this agreement apply to trial use.

3. What you may not do

Share, resell, rent, sublicense or publish your license key.
Install beyond the two seats your license covers.
Reverse engineer, decompile or disassemble the Software, except where that right cannot be excluded by law.
Circumvent licensing, trial limits or the update signature check.
Remove or alter copyright or license notices, including third-party notices bundled with the app.

4. Your content is yours

We claim no ownership of, and no license to, your source recordings, transcripts or exported clips. They are processed on your device and never transmitted to us. There is no watermark, no attribution requirement, and no restriction on commercial use of what you produce. You are responsible for holding the rights to the material you process.

5. Ownership of the Software

The Software is licensed, not sold. SaliimLabs retains all intellectual property rights in it. ClutchClip bundles third-party open-source components (including ffmpeg and speech recognition models) under their own licenses, listed in the third-party notices shipped with the app; where those licenses grant you more, they prevail for that component.

6. Updates

Updates are provided under this same agreement and may add, change or remove features. Signed updates install automatically by default; you can turn that off and install manually. All plans, lifetime included, receive updates for as long as we ship them.

7. What "lifetime" means

A lifetime license is a one-time payment for a perpetual license to the Software, including future updates while the product is maintained. It is not a promise of perpetual development. If we ever stop shipping updates, the version you have installed keeps working; the app processes locally and does not need our servers to clip.

8. Termination

This license ends if you materially breach it (principally the restrictions in section 3) or if a subscription lapses or a purchase is refunded. On termination you must stop using the Software and remove it from your machines. Clips you already exported remain yours.

9. Warranty and liability

The Software is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. To the maximum extent permitted by law, our aggregate liability under this agreement is limited to the amount you paid for the license, and we are not liable for lost profits, lost data or indirect loss. Nothing here limits liability that cannot lawfully be limited, and consumer statutory rights are unaffected.
